AI / Synthetic Use Addendum (Template v1.0)
1. Purpose
This Addendum governs any use of a Voice Asset that (a) is Synthetic/Transformative or (b) creates, trains, or deploys a Digital Voice Replica (including voice cloning, conversion, or model training) for Buyer use.
2. Definitions
- Digital Voice Replica: synthetic output that reproduces or imitates Creator’s voice identity or distinctive vocal characteristics.
- Synthetic Use: any generation or transformation where output audio is produced by an AI system from the Voice Asset or derived templates.
(Keep this broad on purpose; narrow definitions are loophole factories.)
3. Allowed AI Uses (MUST be explicitly selected on the Order Form)
Buyer is permitted only the checked uses:
A. Model Training
- Train a model on Voice Asset (fine-tune / adapter / embedding)
- Use for evaluation/benchmark only (no deployment)
B. Voice Generation / Conversion
- Text-to-speech generation in Creator’s voice
- Voice conversion (convert other speech into Creator’s voice)
- Style transfer (tone/timbre characteristics without identity match) (only if explicitly permitted)
C. Derived Data Only
- Extract features/embeddings/labels only (no audible synthesis)
D. Output Packaging
- Generate finished audio for commercial distribution
- Generate internal prototypes only (no public release)
Anything not checked is not licensed.
4. Separate, Clear Consent Requirement (Creator-side)
Creator’s consent to Synthetic Use must be:
- clear and conspicuous, and
- executed as a separate writing describing the intended uses with reasonable specificity, and
- provided on a per-project / per-campaign basis when Order Forms differ materially in scope.
Operationally: Creator must click/sign an AI Consent Screen that is separate from general platform terms.
5. Scope Controls (hard knobs)
The Order Form must specify:
- Term / Reach / Volume caps (including max generated minutes)
- Whether Buyer may deploy publicly vs internal only
- Whether Buyer may store any replica model weights, and for how long
- Whether sublicensing is permitted (default: no)
6. Absolute Prohibitions (non-negotiable)
Buyer must not use Voice Assets or replicas for:
- impersonation fraud, deception, or identity theft
- political persuasion ads using Creator’s replica (unless explicitly allowed per campaign + Creator approves)
- disallowed categories listed on the Order Form (default includes: medical diagnosis claims, financial endorsement claims, “I am X person” identity claims, adult content)
7. No Re-Identification / No Biometric Exploitation
Buyer must not attempt to:
- identify Creator, link identity across datasets, or extract/compute an identifier template for identification purposes
- use the asset as a biometric identifier or for authentication systems without explicit permission and legal basis.
This matters because multiple laws treat voice/voiceprints or voice recordings as biometric data with consent expectations.
8. Retention & Destruction (AI-specific)
Buyer must delete:
- replica models/weights, intermediate training artifacts, and generated datasets within {{X days}} after the Term ends, unless extended in writing.
(If you want a default aligned to strict regimes, mirror the “purpose satisfied / within 3 years of last interaction” retention logic conceptually for your platform policy.) (Texas also requires destruction within a reasonable time and adds consent language updates effective Jan 1, 2026.)
9. Approval Workflow (choose one on Order Form)
- Auto: Pre-approved if within preset caps + allowed categories
- Manual: Creator must approve the campaign brief before first use
- Manual + Samples: Buyer submits 1–3 sample outputs for Creator approval before release
10. Attribution & Disclosure (optional but powerful)
If selected, Buyer must disclose: “Contains synthetic audio generated under license.” (This is a trust lever for enterprise buyers; optional for consumer.)
11. Audit Rights
If Buyer is enterprise-tier or if misuse is suspected, Buyer must provide reasonable logs:
- usage counts, generated minutes, release channels, and deletion confirmation.
12. Breach = Immediate Termination + Liquidated Controls
Material breach of this Addendum:
- terminates Synthetic Use rights immediately
- triggers takedown duty
- triggers additional fees/penalties as stated on the Order Form
13. Acceptance Tests (LLM-proof checklist)
- Order Form lists Allowed AI Uses (Section 3) — no silent permission.
- Creator AI consent captured in separate writing with specific uses.
- Volume cap includes generated minutes.
- No re-identification clause present (Section 7).
- Retention/deletion obligations present (Section 8).
