DOC 1 — USpeaks Creator Contribution & Voice Rights Agreement (Template)

1. Parties

This Creator Contribution & Voice Rights Agreement (“Agreement”) is between UspeakS, Inc. (“Company”) and {{CREATOR_LEGAL_NAME}} (“Creator”) effective {{EFFECTIVE_DATE}}.

2. Purpose

Creator contributes voice recordings and related metadata (“Voice Assets”) so Company may (a) analyze and secure them, and (b) license permitted uses to third parties under Company’s standard buyer terms and Order Forms.

3. Definitions

“Voice Assets” = recordings uploaded/recorded by Creator, plus derived features/labels/embeddings generated by Company.
“Voiceprint / Biometric Data” = data derived from voice that may be used to identify a person (where applicable by law). (Illinois includes “voiceprint” as a biometric identifier.)
“Use Domains” = A Promotion, B Entertainment, C Info/Utility, D Synthetic/Transformative (as selected by Creator per asset or per listing rules).

4. Creator Grant of Rights to Company

Creator grants Company a worldwide license to:

host, store, back up, and process Voice Assets;
generate derived data (features, labels, embeddings, watermarking, integrity proofs);
display/list Voice Assets in the marketplace;
grant sublicenses to Buyers only within the scope described by the applicable Order Form and Buyer License Agreement.

No sale of ownership: Creator retains ownership of their voice and Voice Assets, subject to the licenses granted here.

5. Creator Controls

Creator may configure:

permitted Use Domains (A–D),
whether exclusivity may be sold, and
minimum verification requirements (Identity Tier).

Company will enforce scope through Order Forms.

6. Biometric / Sensitive Data Consent (Required)

Creator acknowledges Company may process voice data in ways that can be regulated as biometric data/voiceprints in some jurisdictions. Creator provides informed consent for Company to capture, store, and process Voice Assets and derived templates/identifiers as necessary to provide the service (including fraud prevention, security watermarking, and license enforcement).

7. Creator Representations & Warranties

Creator represents and warrants:

they are the rightful owner of the contributed voice recordings or otherwise have authority to grant rights;
Voice Assets do not violate third-party rights (contracts, unions, employer policies, publicity rights);
they will not upload recordings of other people without legally valid permission.

8. Payments

Company will pay Creator according to the marketplace payout schedule shown at purchase time or in a separate payout addendum (“Payout Terms”). Creator is responsible for taxes.

9. Takedown / Withdrawal

Creator may request removal of future licensing availability for an asset. Removal is prospective and does not terminate licenses already granted to Buyers under existing Order Forms.

10. Prohibited Uses by Creator

Creator may not upload content intended for impersonation fraud, deception, or unlawful surveillance.

11. Limitation of Liability

12. Indemnity

Creator indemnifies Company for claims arising from Creator’s breach of warranties (e.g., lack of authority).

13. Governing Law; Disputes

14. Acceptance Tests (must remain true)

Order Form controls buyer scope.
No retroactive cancellation of already-sold licenses.
Biometric consent present.
