Applesauce: Master Terms of Service (SKU 1: Dataset Licensing)

These Master Terms ("Terms") govern the licensing of specific audio assets from the Applesauce platform under the Dataset Licensing SKU. This Agreement is between the Licensee (Buyer) and the Creator (Seller), facilitated by the Applesauce Platform.

By accessing the platform or purchasing a license, you ("Licensee") agree to be bound by these Terms and any applicable Domain Modules. By listing an asset, the Creator agrees to be bound by the Creator Terms which incorporate these Master Terms.

1. The Licensing Model

Applesauce provides a "Weighted" licensing model for high-value media assets. Every license consists of:

These Master Terms: The general legal wrapper.
A Domain Module: Specific permissions based on the use case (A, B, C, or D).
A Deal Memo: The API-generated record containing the specific Pricing Knobs (Quality, Duration, Reach, Volume, Exclusivity, Identity) and the final Price.

2. Grant of Rights

Subject to the payment of fees and compliance with these Terms, Applesauce (on behalf of the "Creator") grants Licensee a limited, non-transferable, non-sublicensable license to use the Audio as specified in the Deal Memo and the selected Domain Module.

3. Personality & Identity Rights (ELVIS Act Compliance)

Licensee acknowledges that the Audio represents the unique vocal identity of the Creator.

Rights are granted only for the specific Domain selected.
Any use for unauthorized "Voice Cloning," "Deepfake" production, or synthetic derivation outside of a "Domain D (Synthetic)" license is a material breach of this Agreement.
Licensee shall not attempt to reverse-engineer the Creator's identity or use the Audio to train unauthorized models.

4. Prohibited Content & "Kill Switch"

Platform reserves the right to terminate any license immediately if the Audio is used in association with:

Illegal content or activities.
Hate speech, harassment, or discriminatory content.
Violations of the Responsible AI (RAIL) behavioral restrictions.

Upon notice of termination via the API or email, Licensee must cease all use of the Audio and delete all copies within 24 hours.

5. Liability & Warranties

Alpha Status: The platform is in Alpha. Services and assets are provided "AS IS".
Liability Cap: To the maximum extent permitted by law, Applesauce’s total liability for any claim arising out of this Agreement is limited to the fees paid by Licensee for the specific asset in the 12 months preceding the claim.
Indemnity: Licensee agrees to indemnify Applesauce and the Creator against any third-party claims arising from Licensee’s misuse of the Audio or breach of the Domain-specific restrictions.

6. Miscellaneous

Governing Law: These Terms are governed by the laws of the State of Tennessee (referencing the ELVIS Act) and the State of California, without regard to conflict of law principles.
Amendments: These Terms may be updated. Continued use of the platform after updates constitutes acceptance.
